SKILLINA CANDIDATE TERMS OF SERVICE

Effective Date: October 28, 2025

By creating an account, uploading your resume, taking interviews, or otherwise using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

1. YOUR ACCOUNT

• You must be at least 18 years old and legally authorized to work in jurisdictions where you seek employment
• You must provide accurate, current, and complete information during registration and keep your profile updated
• You are responsible for maintaining the confidentiality of your account credentials and all activities under your account
• You may only maintain one account per person and may not share account access with others

2. YOUR CONTENT

• You retain ownership of your resume and profile content but grant Skillina a non-exclusive, royalty-free license to use, process, display, and share such content for platform operations
• You represent and warrant that all information you provide is truthful, accurate, and does not violate any third-party rights
• You may not submit content that is false, misleading, fraudulent, discriminatory, harassing, offensive, or that infringes on intellectual property rights
• You may block specific employer domains from viewing your profile
• Skillina may extract and use information from uploaded resumes to auto-populate profile fields and match you with relevant opportunities

3. AI INTERVIEWS & PAYMENTS

3.1 Interview Process

• All interviews are conducted by AI technology and are recorded for evaluation and scoring purposes
• You consent to the recording and analysis of your interview responses
• Interview scores are provided for guidance and self-improvement purposes only
• By participating in interviews, you agree to our Honor Code

3.2 Honor Code and AI Usage Prohibition

HONOR CODE: You confirm that you will complete all interviews without any artificial intelligence assistance, including but not limited to ChatGPT, Claude, or any other AI tools. You understand that Skillina employs detection systems to identify AI usage during interviews, and any violations may be reported to potential employers and result in immediate account termination.

3.3 Technical Requirements and Payments

• You are responsible for ensuring proper audio and video functionality before beginning interviews
• Some interview features and retake options require payment, which are non-refundable
• You authorize us to charge your designated payment method for any paid services
• Technical issues during interviews may require retakes at your expense

3.4 AI Assessment Disclaimer

Skillina utilizes artificial intelligence technology for candidate interviews, assessments, and evaluations. You acknowledge and agree that:

• AI-generated assessments, scores, and recommendations are directional tools meant to assist in the hiring process and are not guaranteed to be accurate or complete
• AI technology may contain errors or limitations that could affect assessment results
• Skillina makes no warranties regarding the accuracy, reliability, or completeness of AI-generated content
• Employers use AI assessments as one factor among many in making hiring decisions
• Skillina shall not be liable for any hiring decisions made based on AI assessments or for consequences resulting from such decisions

4. JOB MATCHING

• Skillina does not guarantee job placement, interviews with employers, or employment outcomes
• Employment relationships are solely between you and employers - we are not a party to any employment agreements
• We are not responsible for employer actions, job descriptions, hiring decisions, workplace conditions, or employment disputes
• Referral program rewards are subject to successful placement verification and may change or be discontinued at any time
• You are responsible for any tax implications of referral payments received

5. REFERRAL PROGRAM

5.1 Referral Eligibility and Rewards

You may participate in our referral program by sharing your unique referral link with potential candidates

Referral rewards are earned when a referred candidate is hired through Skillina and completes the required employment verification period

There is a limit on hires per unique referral link as specified in program terms

Referred candidates must be new users who create accounts using your unique referral link

5.2 Referral Requirements and Restrictions

Both referrer and referred candidate must maintain active accounts in good standing

Referred candidate must complete [30] days of verified employment before referral reward is issued

Referral rewards are contingent upon Skillina receiving payment from the employer for the successful hire - if the employer does not pay Skillina, we are not obligated to issue the referral reward

Rewards will be delivered within 90 days after employment verification

You may not refer yourself, use multiple accounts to generate referrals, or refer immediate family members (spouse, children, parents, siblings)

You may not engage in spam, unsolicited communications, or deceptive practices to generate referrals

5.3 Verification and Fraud Prevention

Skillina reserves the right to verify all referrals and may request additional documentation

We may deny, withhold, or reclaim rewards for fraudulent, abusive, or suspicious referral activity

We may terminate accounts that violate referral program terms

5.4 Tax Obligations

You are solely responsible for reporting and paying any taxes on referral rewards received

5.5 Program Modifications

Referral program terms, reward amounts, eligibility criteria, and expiration dates may be modified or terminated at any time with or without notice

Changes do not apply retroactively to referrals already in progress at the time of modification

Current program terms are displayed in your candidate account

6. DATA USAGE AND PRIVACY

Your personal information, including resume content, interview recordings, usage patterns, and communication history, is collected and processed as described in our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and share your information, including sharing with potential employers and service providers.

7. LIMITATION OF LIABILITY

IMPORTANT DISCLAIMER: SKILLINA PROVIDES ALL SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Skillina's total liability to you shall not exceed the amount you paid us in the twelve months preceding any claim
• We shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits, lost opportunities, or employment-related losses
• We disclaim liability for employment outcomes, employer actions, AI assessment accuracy, or technical issues

8. TERMINATION

8.1 Termination by Either Party

• You may delete your account at any time through your account settings
• Skillina may suspend, block, or terminate your account at any time for any reason, including:
  • Violation of these Terms or Honor Code
  • Use of AI assistance during interviews
  • Fraudulent, inappropriate, or abusive behavior
  • Providing false or misleading information
  • Extended periods of inactivity
  • Legal or regulatory requirements

8.2 Effect of Termination

Upon termination of your account:

• Your access to all services will immediately cease
• We may delete your account, profile, and associated data
• All paid fees are non-refundable
• Provisions regarding liability limitation, indemnification, and dispute resolution survive termination

9. INTELLECTUAL PROPERTY

• Skillina owns all rights, title, and interest in the platform, AI technology, algorithms, software, and related intellectual property
• You retain ownership rights to your original content but grant us necessary licenses for platform operation
• You may not reverse engineer, copy, or create derivative works of our platform or technology

10. DISPUTE RESOLUTION

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles.

10.2 Mandatory Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of Skillina's services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Seattle, Washington, and shall be conducted by a single arbitrator.

10.3 Class Action and Jury Trial Waiver

You expressly waive any right to participate in class action lawsuits, class-wide arbitration, or any representative proceedings against Skillina. You also waive any right to a jury trial for any disputes covered by these Terms.

10.4 Exceptions

The arbitration requirement does not apply to disputes involving intellectual property rights or requests for injunctive relief.

11. GENERAL PROVISIONS

11.1 Modifications

We may modify these Terms at any time by posting updated terms on our platform. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

11.2 Severability

If any provision of these Terms is deemed invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

11.3 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Skillina regarding your use of our services.

11.4 Assignment

Skillina may assign these Terms and any rights hereunder without notice or consent. You may not assign your rights or obligations under these Terms without our prior written consent.

11.5 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Skillina, its officers, directors, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the platform
• Any false or misleading information you provide
• Your violation of the Honor Code or use of AI assistance during interviews
